Terms of Service

1. Overview

These Terms of Service (“Terms”) are a legally binding agreement between you (“Customer,” “User,” or “you”) and Codepoet LLC, doing business as RapidQuote AI (“RapidQuote,” “we,” “our,” or “us”). They govern your access to and use of the RapidQuote AI platform at rapidquoteai.com, which provides electrical-parts quoting tools including inventory management, AI-assisted quote-request processing, and quote generation and delivery (the “Service”).

By accessing, using, registering for, subscribing to, or purchasing the Service, including by accepting these Terms during registration or checkout, you agree to these Terms. By accepting these Terms, you also agree to our Privacy Policy, which is incorporated into and forms part of these Terms. If you do not agree to both, you must not use the Service.

2. Description of Service

RapidQuote provides:

• A platform where companies upload and manage inventory information, including pricing.
• Receipt of product quote requests, including requests that arrive by email.
• Artificial intelligence (“AI”) that parses quote requests, matches them against inventory, and generates price quotes.
• Delivery of quotes to the party that requested them, on your behalf.

The Service relies on third-party providers, including email delivery services, AI providers, cloud hosting, and payment processors. Their availability, policies, and technical requirements may affect the Service. We may make reasonable changes to the Service when necessary to maintain security, reliability, legal compliance, or compatibility with those providers.

3. Eligibility & Registration

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. The Service is intended for business use. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

4. User Representations

• You represent that you have the authority to bind the company you represent to these Terms.
• You warrant that the inventory information you provide is accurate, complete, and up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.

5. Your Data & Price Confidentiality

• You retain ownership of the inventory data you provide. You grant us a license to use it solely to provide the Service.
• We do not publish your inventory or pricing. Your prices are disclosed only in the quotes sent to the party requesting a quote. We do not show one vendor’s prices to another vendor.

6. Acceptable Use

You may use the Service only for lawful business purposes. You may not use the Service for unlawful, fraudulent, deceptive, or abusive activity; to send unsolicited bulk messages; to misrepresent products, pricing, or availability; to probe, scrape, disrupt, or interfere with the Service or its security; or to attempt to access another customer’s data. We may restrict, suspend, or terminate the Service for violations of this section.

7. AI-Generated Quotes & Accuracy

• Quotes generated through the Service are offers made by the vendor sending them, not by RapidQuote. We are not a party to, and are not responsible for, any transaction between a buyer and a vendor.
• The Service uses AI to parse requests and generate quotes. We do not guarantee the accuracy of inventory information, parsed requests, or AI-generated quotes. It is your responsibility to verify all information, including prices and quantities, before relying on it.
• The Service may be temporarily unavailable for maintenance or due to unforeseen circumstances.

8. Billing, Trials & Refunds

• Receiving quote requests and sending quotes in response is free, as described on our pricing page.
• Paid subscriptions are billed in advance, monthly or annually, at the prices published on the pricing page. New paid subscriptions include the free-trial period described there; you are not charged until the trial ends, and you may cancel before it ends at no cost.
• Certain transactions completed through the Service may carry a fee equal to a percentage of the quoted amount, up to a maximum. The current rate is communicated to you before it first applies to your account.
• Payments are processed by Stripe. We do not receive or store complete payment-card numbers.
• Fees are non-refundable except as expressly stated or required by law. If you believe a charge is incorrect, contact us promptly so we can investigate. Initiating a payment dispute does not cancel your subscription or relieve you of responsibility for valid amounts due.

9. Cancellation

You may cancel your subscription at any time through your account or by contacting us. Cancellation is effective at the end of the current billing cycle. You keep access to paid features until the end of the period you have paid for, and no refunds are issued for partial months or unused time.

10. Termination & Suspension

We may suspend or terminate access to the Service at any time, with or without notice, for conduct that violates these Terms, harms the Service or other users, or is unlawful. Upon termination, your right to use the Service ceases immediately. No refunds are provided when termination is for cause.

11. Intellectual Property

The Service and its content, including software, AI systems, design, and branding, are the property of Codepoet LLC and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. Your inventory data remains yours, as described in Section 5.

12. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING DAMAGES RESULTING FROM ERRORS IN INVENTORY DATA OR PRICE QUOTES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Codepoet LLC and its officers, members, employees, and affiliates from any claims, losses, liabilities, damages, and expenses (including legal fees) arising out of your use or misuse of the Service, your violation of any law or regulation, or your breach of these Terms.

14. Governing Law & Disputes

These Terms are governed by and interpreted in accordance with the laws of the State of Texas, without regard to its conflicts of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising from or relating to these Terms or the Service.

15. General Provisions

These Terms, the Privacy Policy, and any applicable order or written agreement constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all of our assets. We are not responsible for delay or failure caused by events beyond our reasonable control. Provisions that by their nature should survive termination, including payment obligations, ownership, disclaimers, limitations of liability, indemnification, and governing law, will survive.

16. Changes to Terms

We may update or modify these Terms at any time. Material changes will be communicated by email or on the platform. Continued use after changes constitutes acceptance of the revised Terms.
